Article 1. General Provisions
These Terms of Service (the "Terms") set forth the conditions for using Code Tempo (the "Service") provided by Praise First ("we," "us," or "our"). By using the Service, all users ("Users" or "you") are deemed to have agreed to these Terms.
Article 2. Definitions
In these Terms, the following terms have the following meanings:
- "Service": The GitHub repository analysis and visualization service "Code Tempo" provided by us and all related features
- "User": Any individual or entity that uses the Service
- "Account": User identification information created through GitHub OAuth authentication to use the Service
- "Content": All data, text, graphs, and other information obtained and displayed through the Service
Article 3. Account Registration and Management
3.1 Account Registration
Use of the Service requires authentication with a GitHub account. Users agree to provide accurate and up-to-date information.
3.2 Account Management
Users are responsible for managing their own accounts. We are not liable for any damages resulting from unauthorized use of accounts.
3.3 Account Suspension or Deletion
We may suspend or delete accounts without prior notice if a User violates these Terms or if we determine it necessary for the operation of the Service.
Article 4. Service Content and Terms of Use
4.1 Service Content
The Service is a GitHub repository development activity analysis and visualization service. Specifically, it provides the following features:
- Commit frequency analysis and visualization
- Pull request lead time analysis
- Issue resolution time analysis
- Contributor activity analysis
- Other features added by us from time to time
4.2 Terms of Use
Users agree to use the Service in compliance with GitHub's Terms of Service and Privacy Policy.
4.3 Data Collection
The Service collects data from repositories that Users have authorized through the GitHub API. The scope of collected data is as specified in our Privacy Policy.
Article 5. Fees and Payment
5.1 Pricing Plans
The Service offers a free plan (Free) and a paid plan (Standard). Details and pricing for each plan are as stated on our website or in the "Specified Commercial Transaction Act Information."
5.2 Payment Method
Fees for paid plans are payable by credit card. Payment processing is handled through Stripe, Inc.
5.3 Automatic Renewal
Paid plans are automatically renewed at the end of the contract period unless the User cancels.
5.4 Refunds
Due to the nature of digital content, we generally do not offer refunds after payment. Please refer to the "Specified Commercial Transaction Act Information" for details.
Article 6. Prohibited Activities
Users shall not engage in the following activities when using the Service:
- Activities that violate laws or public order and morals
- Activities related to criminal acts
- Activities that infringe upon intellectual property rights, privacy rights, reputation rights, or other rights of us or third parties
- Activities that place excessive load on the Service's servers or networks, or that interfere with their operation
- Disassembling, decompiling, or reverse engineering the Service
- Providing data obtained through the Service to third parties without our permission
- Using the Service for unauthorized commercial purposes
- Unauthorized access or attempts thereof
- Impersonating other Users
- Other activities we deem inappropriate
Article 7. Intellectual Property
7.1 Rights to the Service
Copyrights, trademark rights, and other intellectual property rights related to the Service belong to us or the legitimate rights holders.
7.2 Rights to User Data
Rights to GitHub repository data that Users obtain through the Service belong to the original rights holders.
7.3 License
We grant Users a non-exclusive, non-transferable, non-sublicensable right to use the Service in accordance with these Terms.
Article 8. Disclaimer and Limitation of Liability
8.1 Disclaimer of Warranties
The Service is provided "as is." We make no warranties, express or implied, regarding the completeness, accuracy, reliability, usefulness, or fitness for a particular purpose of the Service.
8.2 Limitation of Liability
We shall not be liable for any damages arising from the use or inability to use the Service, except in cases of our willful misconduct or gross negligence. Even when we are liable, our liability shall be limited to the amount of fees paid by the User to us in the preceding 12 months.
8.3 Third-Party Services
The Service integrates with third-party services such as GitHub. We are not responsible for the operation, functionality, or content of these third-party services.
Article 9. Service Changes, Suspension, and Termination
9.1 Service Changes
We may change the content of the Service without prior notice to Users.
9.2 Service Suspension
We may suspend all or part of the Service in the following cases:
- When performing system maintenance or inspection
- In cases of force majeure such as fire, power outage, or natural disaster
- In case of failure of third-party services
- When we determine it necessary
9.3 Service Termination
We may terminate the Service by notifying Users at least 30 days in advance.
Article 10. Contract Termination and Account Suspension
10.1 Cancellation by User
Users may cancel at any time through the Service settings. For paid plans, Users may continue to use the Service until the end of the contract period after cancellation.
10.2 Suspension or Termination by Us
We may suspend or delete a User's account and terminate the contract without prior notice if the User violates these Terms or if we otherwise determine it necessary.
Article 11. Handling of Personal Information
We handle personal information collected in connection with the use of the Service in accordance with our Privacy Policy. By using the Service, Users are deemed to have agreed to the Privacy Policy.
Article 12. Governing Law and Jurisdiction
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan.
12.2 Jurisdiction
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Sendai District Court as the court of first instance.
Article 13. Amendments
We may amend these Terms as necessary. Amended Terms shall become effective upon posting on the Service.
If there are significant changes, we will notify you through the Service or by email. Continued use of the Service after amendments constitutes acceptance of the amended Terms.
